Fill out the Application Form of the State Business License For Profit Corporation

    Download the Form

    Download the form from the www.nvsos.gov website.

    Name of Entity

    Fill out the name of the business you are registering. Note that you cannot use a name that appears to be of a natural person or initials of the given name unless it will have corporate endings such as Limited, Ltd., Corporation, Corp., Incorporated, Inc., or other additions that would not make it appear as a natural person. The chosen name must be unique or is not in use by other organizations. 

    If applying as a foreign company, give the name registered in home jurisdiction.

    Registered Agents

    Those who wish to incorporate in Nevada must elect a registered agent who lives in the state. They will need to indicate their street address for service of process. They must also have a mailing address different from their street address. Registered agents must sign the certificate of acceptance. If the registered agent cannot sign the Articles of Formation, they must submit a separate Registered Agent Acceptance form with the signature.

    Governing Board

    You must indicate if the corporation will be under a board of directors. If yes, you must supply the names and addresses of each.

    Jurisdiction of Incorporation

    You must indicate the jurisdiction of incorporation by which the corporation was created. You must also declare that the corporation is in good standing since its formation.

    Benefit Corporation

    When you select, “Yes,” this means that you are declaring the corporation as a benefit corporation pursuant to NRS Chapter 78B. The purpose for public benefit must be indicated within the formation filing.

    Purpose or Profession of Practice

    You must fill this out if you are a benefit corporation. Otherwise, leave it blank.

    Authorized Shares

    It is important to state the number of shares the company has authority to sell. It must include par value. If there is no par value, indicate the number of shares in the space provided for shares without par value.

    Officer Making Statement

    You must fill out the name of the authorized person(s) responsible for filing. Each officer must sign the form.

    Incorporators

    The form must list out all the names and addresses of all incorporators. Each one of them must sign the form as well. You may use a separate white sheet necessary.
