How to Change Your Company Name in Las Vegas

If you are running a business entity currently registered in Las Vegas and you wish to change its name, you have to file a request for a Name Amendment or Articles of Amendment/Certificate of Amendment. If the business has other business locations, filing of the change of company name in all other states in which your business has operations is necessary.

Note: Changing your company name will not affect your Federal Tax ID

 

 

Here is a step-by-step guide on how to change your company name in Las Vegas:

    Step 1: Secure Consent from the Board of Directors

    Proceed to Step 2 if you do not have a Board of Directors. 

    Before you can successfully change your business name, you have to secure the approval of the Board of Directors. In some cases, a business owner must obtain the consent of its shareholders. It can be discussed during a board meeting. As the business owner, you need to justify to the stakeholders why the change of name is necessary and explain the impact it would have on your business. Discussing it during a board meeting can allay fears and improve the trustworthiness of your leadership. 

    Based on section 6.04.070(d) of the Clark County Code, those who will apply for a change to business name secondary to change in business ownership equal to 50% or more, a new business license is mandatory. The application must include the following: 

    • Notarized letter by the owner
    • List of owners with corresponding ownership percentages,
    • A stamped copy of Minutes
    • A stamped copy of the new Doing Business As
    • File-stamped marriage certificate or divorce decree for an owner’s name change

    Step 2: Check Business Name Availability

    Before filing the Name Amendment, make sure that your name of choice is still available. You don’t want to waste time filling up the form only to find out that your new business name of choice is unavailable. You can use Silver Flume’s Business Search page.     Step 3: Log in to Your Las Vegas Portal Account

    Head on to https://dscportal.lasvegasnevada.gov. If you still don’t have an account or you don’t remember your access details, you can use your license number. Follow the link to go to the sign-in page for Existing Business License Owner. 

    If, in any case, you also don’t have your license number, you may send an email to license@lasvegasnevada.gov

    Step 4: Click Apply for Business License and Permits

    Once you are inside your account, click the Apply for a Business License and Permits tab. Fill in the required fields such as the license type and business category. Provide complete details for the changes that you want to make. Then, submit the request. 

    Special Notes:

    For business name changes, the Clark County Clerk’s office requires a Fictitious Firm Name (DBA) to have a file-stamped copy. It can also be filed with the Nevada Secretary of State.
